“That clause isn’t enforceable.”
Rebecca’s eyes moved lower on the document.
“It appears enforceable.”
“No.”
“It’s signed.”
“By whom?”
“Daniel Bennett, Grace Bennett, two trustees, and—”
She paused.
Ethan looked suddenly uneasy.
Rebecca continued.
“Charles Calloway.”
Ethan’s father.
The founder who had supplied the original warehouse and first $400,000 in seed capital.
Dead three years.
Ethan stared at the signature.
“No.”
Grace’s voice softened.
“Your father knew too.”
“That’s forged.”
“It was recorded with the Delaware trust division eight years ago.”
Ethan said nothing.
“It predates the Series B round,” Rebecca added.
Grace watched him.
“Harbor Crown discovered the filing during due diligence.”
“Then why didn’t they disclose it?”
“Because someone sent them another document.”
Ethan’s eyes flickered.
There it was.
The thumb again.
One small movement.
Grace continued.
“A waiver.”
Martin Heller slowly looked at Ethan.
Rebecca asked, “What waiver?”
Grace removed a photocopy.
